This Agreement is made between Internet Law Pty Ltd ACN 130 474 574 as trustee, trading as Law Tram (“Law Tram”), and the Affiliate identified by registration and acceptance through the platform (“Affiliate”).
By joining the Law Tram Affiliate Network and referring potential Legal Partners or Clients to Law Tram, the Affiliate agrees to be bound by the terms of this Agreement.
“Affiliate” means a person or entity registered and approved by Law Tram to participate in its referral network.
“Client” means a user of the Law Tram platform who seeks legal information or representation and may be introduced to Legal Partners.
“Legal Partner” means a solicitor or other professional who has entered into a separate agreement with Law Tram to offer services via the platform.
“Referred Person” means any Legal Partner or Client introduced to Law Tram by the Affiliate.
“Commission” means the flat fee paid to the Affiliate based on successful conversion of a Referred Person under the terms of this Agreement and as defined in Schedule 1.
“Commission Table” means the fixed referral fees for each matter type as listed in Schedule 1.
2.1 The Affiliate is authorised to refer potential Clients and Legal Partners to the Law Tram platform through referral links, QR codes, email, or other approved methods.
2.2 Nothing in this Agreement creates a relationship of employment, agency, partnership or joint venture between Law Tram and the Affiliate.
2.3 Law Tram retains the right to approve, reject, or remove any Referred Person at its discretion, and to terminate this Agreement at any time.
3.1 Each Referred Person must be identified via a unique referral mechanism provided by Law Tram.
3.2 Law Tram shall in its sole discretion determine the validity of each referral.
4.1 Commission amounts payable to Affiliates are set out in Schedule 1 (Commission Table) and represent flat fees per matter type.
4.2 Commissions will be paid monthly in arrears, subject to invoice, unless otherwise agreed.
4.3 No Commission is payable for persons already known to Law Tram.
4.4 If the Referred Person is a potential Client whose matter relates to personal injury in Queensland, the Affiliate acknowledges and agrees that Law Tram may refer the matter to SPC Lawyers or another law firm without paying any referral fee or commission. This is to comply with section 67(3) of the Personal Injuries Proceedings Act 2002 (Qld), which prohibits payment for such referrals. This referral is made solely to ensure legal representation.
4.5 The Affiliate acknowledges that Commission is only payable from Law Tram’s revenue and is not derived from Legal Partner legal fees directly.
4.6 A Commission is only payable to the Affiliate once Law Tram has received full payment from the Legal Partner for the specific matter to which the Commission relates.
4.7 The Affiliate warrants that they are permitted under any applicable laws, regulations, and rules of their professional or regulatory body to receive Commission payments from Law Tram. The Affiliate is solely responsible for ensuring their compliance with such requirements and indemnifies Law Tram against any breach thereof.
4A.1 The Affiliate must not advertise, solicit, collect, or refer any personal-injury or accident-compensation matter arising in Queensland, New South Wales, or South Australia.
4A.2 Law Tram will not pay or receive any commission, referral fee, or benefit in relation to such matters.
4A.3 This restriction does not apply to contractual insurance-based claims, including Total and Permanent Disability (TPD) and Income Protection claims made under an insurance policy or superannuation fund, provided those claims do not include or evolve into a claim for personal-injury damages.
4A.4 If a Referred Person’s matter later becomes, or is found to include, a personal-injury damages component in any of those jurisdictions, the Affiliate acknowledges that Law Tram is not entitled to nor will it pay any commission or reward in relation to that component, and that all related referrals must occur outside the Law Tram platform.
4B.1 If the Affiliate refers a Legal Partner who is accepted by Law Tram and becomes a paying member of the platform, Law Tram will pay the Affiliate thirty per cent (30%) inclusive of GST of all fees Law Tram actually earns from that Legal Partner during the first three (3) years of that partner’s membership.
4B.2 Payments will be calculated quarterly in arrears, once Law Tram has received the corresponding revenue from the Legal Partner.
4B.3 No further entitlement exists after the three-year period unless renewed in writing.
4B.4 If the Affiliate also introduces a Client who later engages the same Legal Partner introduced by that Affiliate, the Affiliate will not receive a separate Client-referral commission for that Client. That relationship is deemed to fall under the 30% Partner Revenue-Share arrangement in this clause.
4B.5 This revenue-share applies only to partner-membership or commission income legitimately earned by Law Tram and does not extend to any prohibited or excluded matter under Clause 4A (Jurisdictional Compliance).
5.1 The Affiliate is responsible for all tax and compliance obligations relating to received Commissions.
5.2 Law Tram will not withhold tax unless legally required.
5.3 Commissions are exclusive of GST.
6.1 Law Tram may provide promotional materials for use by the Affiliate.
6.2 The Affiliate must not alter, misuse, or present the materials in a misleading way.
6.3 The Affiliate must not present themselves as an agent of Law Tram.
7.1 The Affiliate must comply with applicable laws and guidelines for legal advertising in Australia.
7.2 The Affiliate must not guarantee legal outcomes, use prohibited testimonials, or misrepresent Law Tram as a legal practice.
7.3 The Affiliate agrees to uphold the moral rights and public trust associated with Law Tram, including respectful and honest messaging.
7.4 Law Tram may require modification or removal of any content it deems misleading or unethical.
7.5 Law Tram will not pay commissions to real estate agents in Western Australia, South Australia or Tasmania due to legislated bans on same in those states.
8.1 The Affiliate is responsible for compliance with the Privacy Act 1988 (Cth).
8.2 Personal data may only be shared with Law Tram if consent has been obtained from the individual.
8.3 Law Tram is a data controller for Legal Partners only, and not for Clients.
9.1 The Affiliate must keep confidential all non-public information learned under this Agreement.
9.2 This obligation survives termination of this Agreement.
10.1 The Affiliate indemnifies Law Tram for any claim or loss arising from breach of this Agreement, misuse of data, or misconduct.
11.1 This Agreement starts on acceptance by Law Tram and continues until terminated.
11.2 Either party may terminate the Agreement at any time by written notice.
11.3 Upon termination, all materials must be returned or deleted, and confidential obligations continue.
12.1 Parties will attempt to resolve any disputes in good faith through negotiation.
12.2 If unresolved within 30 days, the matter will proceed to independent mediation.
13.1 This Agreement is governed by the laws of Victoria, Australia.
13.2 Each party submits to the exclusive jurisdiction of the courts of Victoria.
14.1 This Agreement is the entire agreement between the parties and supersedes prior agreements.
14.2 Law Tram may update these terms and will notify Affiliates of material changes.
Compliance Note: No commissions or referral payments apply to personal-injury or accident-compensation matters originating in Queensland, New South Wales, or South Australia. Only TPD / Income Protection contractual insurance matters are eligible in those jurisdictions. Affiliate revenue-share on Legal Partner referrals is governed by Clause 4B.
